Terms & Conditions

These Terms govern your use of the Mobipad Technologies website and our professional services. By engaging us or using this site, you agree to these Terms. If you are contracting on behalf of a company, you confirm you have authority to bind that company.

1. About Us

Mobipad Technologies Private Limited (“Mobipad”, “we”, “us”, or “our”) is a company incorporated in India. Registered office: Office unit No. ANO 211/6, 2nd Floor, Astra Towers 2C/1 Action Area II C, Rajarhat, Kolkata, West Bengal, 700161 - India

We provide mobile application design, development, consulting, and related digital product services to clients in India and internationally.

2. Scope of Services

Our services may include, without limitation:

• iOS, Android, Flutter, React Native, and custom mobile app development
• UI/UX design and product strategy
• Maintenance, support, and iterative product improvements
• Related consulting and digital solutions

Specific deliverables, timelines, fees, and acceptance criteria are defined in a separate proposal, statement of work (SOW), master services agreement, or written order (each a “Service Agreement”). If there is a conflict between these Terms and a signed Service Agreement, the Service Agreement prevails for that engagement.

3. Client Responsibilities

You agree to:

• Provide accurate requirements, content, credentials, and feedback in a timely manner
• Ensure you have rights to all materials you supply (logos, text, data, APIs, media)
• Designate a decision-maker authorised to approve milestones
• Comply with applicable laws in your jurisdiction regarding your product and end users

Delays in your inputs may extend timelines. We are not liable for delays caused by late client feedback, third-party services, or app store review processes outside our control.

4. Fees, Invoices & Taxes

Fees are as stated in the applicable Service Agreement. Unless otherwise agreed in writing:

• Invoices are payable within the period stated on the invoice (or 15 days if not specified)
• Work may be paused if invoices remain unpaid after notice
• Fees are exclusive of applicable taxes (including GST in India, VAT, sales tax, or similar). You are responsible for taxes imposed by your jurisdiction on the services, other than taxes on our net income
• International payments are in the currency specified in the Service Agreement; bank transfer fees are borne as agreed in writing

5. Intellectual Property

5.1 Pre-existing IP

Each party retains all rights to its pre-existing intellectual property, tools, libraries, frameworks, and know-how.

5.2 Work product

Upon full payment of all fees due for the relevant deliverables, and unless the Service Agreement states otherwise, you receive ownership of the custom work product created specifically for you under that engagement (source code, designs, and documentation delivered to you), excluding our pre-existing IP and third-party components.

5.3 Licence to our tools

Where deliverables incorporate our reusable components or internal tools, we grant you a non-exclusive, worldwide licence to use them solely as part of the delivered product.

5.4 Third-party software

Open-source and third-party components remain subject to their own licences. You are responsible for compliance with those licences in your distribution and use of the product.

6. Confidentiality

Each party must keep confidential the other party’s non-public business, technical, and product information received in connection with the engagement, and use it only to perform under the Service Agreement. Obligations do not apply to information that is public, independently developed, or required to be disclosed by law (with prior notice where legally permitted).

7. App Stores & Third-Party Platforms

Publication on Apple App Store, Google Play, and similar platforms is subject to those platforms’ policies and review processes. We do not guarantee approval or continued listing. You are the publisher/account holder unless otherwise agreed, and remain responsible for store compliance, content ratings, privacy disclosures, and ongoing account standing.

8. Warranties & Disclaimers

We perform services with reasonable skill and care consistent with professional mobile development practice. Except as expressly stated in a Service Agreement, services and the website are provided “as is”. We do not warrant uninterrupted or error-free operation, or fitness for a particular purpose beyond the agreed scope.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Neither party is liable for indirect, incidental, special, consequential, or lost-profit damages
• Our total aggregate liability arising out of a Service Agreement is limited to the fees paid to us under that Service Agreement in the twelve (12) months preceding the claim

Nothing in these Terms excludes liability that cannot be excluded under applicable law (including fraud or wilful misconduct).

10. Term, Suspension & Termination

Either party may terminate a Service Agreement as provided therein, or if not specified, by written notice if the other party materially breaches and fails to cure within thirty (30) days of notice. Upon termination, you pay for work performed and approved expenses through the effective date. Sections on IP, confidentiality, liability, and governing law survive termination.

11. International Clients

We regularly work with clients outside India. You are responsible for:

• Export control, sanctions, and import rules that apply to your use of the services or software
• Privacy, consumer, and product regulations applicable to your end users in your markets (including GDPR, UK GDPR, CCPA/CPRA, or similar, where relevant)
• Ensuring your brief and materials do not require us to violate applicable law

12. Website Use

You may use this website for lawful purposes only. You must not attempt to disrupt the site, scrape it aggressively, or misrepresent your affiliation with Mobipad. Website content is for general information and does not constitute a binding offer unless expressly stated.

13. Governing Law & Disputes

These Terms and any dispute arising out of the website or our services are governed by the laws of India, without regard to conflict-of-law rules. Courts at Kolkata, West Bengal, India shall have exclusive jurisdiction, subject to the following:

• Parties shall first attempt good-faith negotiation for thirty (30) days after written notice of a dispute
• For international commercial engagements, the Service Agreement may specify arbitration (for example under the Arbitration and Conciliation Act, 1996, or another agreed institution and seat). Where so specified, that clause controls

Consumers in certain jurisdictions may have mandatory local rights that cannot be waived; those rights remain available to the extent required by law.

14. Changes

We may update these Terms from time to time. The “Last updated” date will change accordingly. Continued use of the website after changes constitutes acceptance of the revised Terms. For active Service Agreements, material changes to commercial terms require mutual written agreement.
